Privacy Policy

Interkanect values your privacy. This privacy policy explains what personal data we collect from you and how we use it. This privacy policy applies if you visit or use Interkanect’s websites or mobile applications (collectively, the “InterKanect Platform”). This privacy policy also applies if you visit Interkanect’s social media or other web pages located on third-party websites.

What does Interkanect do? 

Interkanect provides a platform that allows users to locate and connect with a live Subject Matter Expert (SME) to ask questions or request advice and/or services directly from such Subject Matter Expert. Interkanect, via the Video Chat & Whiteboard Service, enables a user to communicate directly with the Subject Matter Expert and pay for the services purchased by the user from such Subject Matter Expert. 

What information do we collect from you?

By visiting and/or communicating on the InterKanect Platform, we may collect certain information from you, including but not limited to: Information you provide to us, such as: Personal information, such as your name and contact information. Information you provide on InterKanect platform. For Subject Matter Experts, applicable tax forms. Automatic information, such as: Web browser and usage information, including IP address, browser types, page view tallies, time spent on each page, page browsing information, operating system and type of device used.

How does Interkanect collect information from you?

We collect information when you sign up to use the InterKanect Platform through Interkanect’s registration process.

If you register for the InterKanect Platform via a third-party social media platform, we may receive information from that third-party platform about you.

If you sign up as a Subject Matter Expert, although Interkanect is not responsible for vetting Subject Matter Experts, we may use a third party to confirm your credentials, including relevant licenses and certifications.

Please note that if we receive your information from third parties as mentioned above, the data you provide to such third parties is also subject to the third party’s privacy policy.

In addition, we may collect information through the following methods if you use the InterKanect Platform or visit Interkanect’s social media pages or other pages located on third-party websites: Your communications with InterKanectYour requests for information, news and other content, A technical support request you submit, or your participation in a Interkanect promotion. We may also collect information from our direct interactions with you, publicly available data or data provided by third-party sources, such as marketing opt-in lists.

How does Interkanect use the information it collects about me?

We use the information we collect to provide and improve our services, to deliver information requested by you (for example in response to technical support requests), to deliver marketing or other materials to you (including through phone calls if you provide your telephone number), or for promotions you may enter into. We process your information if you have given your consent; if it is necessary to perform a contract with you or to take steps at your request prior to entering into a contract; if it is necessary to comply with legal obligations; or if it is necessary for us or a third party to pursue a legitimate interest. Interkanect may retain your information for a period of time consistent with the original purpose of collection. For example, Interkanect may retain your information during the time in which you have an account to use the Services. We may also retain your information during the period of time needed for Interkanect to pursue our legitimate business interests, conduct audits, comply with our legal obligations, resolve disputes, and enforce our agreements.

Does Interkanect use cookies?

We may use cookies and other identification technologies for record keeping purposes and to enhance your experience on the InterKanect Platform.

Cookies:

Cookies are small text files stored on a visitor’s web browser and applications. Cookies are often used to make web-browsing easier by performing functions such as saving passwords and maintaining lists of personal preferences regarding the use of the website.

The InterKanect Platform may use the following types of cookies:

Strictly Necessary Cookies - these cookies are essential to enable you to browse the InterKanect Platform and use the available features.

Performance Cookies - these cookies collect information about how you use the InterKanect Platform. For instance, these cookies track which pages you visit most. This data may be used to help optimize the InterKanect Platform and make it easier for you to navigate within them. These cookies do not collect information that identifies you; all information is aggregated and anonymous.

Functionality Cookies - these cookies allow the Interkanect Platform to reuser choices you make while browsing, such as geographic location and preferences such as text size and fonts. The information collected by these cookies will not personally identify you.

Other identification technologies that may be used by the InterKanect Platform:

Pixel tags (also called beacons or pixels) - these are small blocks of code installed on (or called by) a webpage or application, which can retrieve certain information about your device and browser, including device type, operating system, browser type and version, website visited, time of visit, referring website, IP address and other similar information.

Software Development Kits (also called SDKs) - function like pixels and cookies, but operate in the mobile application context where pixels and cookies cannot always function. The application developer can install pieces of code (the SDK) into the application to collect certain information about user interaction with the application and information about the user device and network information.

Third-party technologies:

Interkanect may use third-party service providers or work with affiliate or referral partners who are authorized to place cookies, pixel tags or similar technologies on the Interkanect Platform with our permission. These technologies help us compile metrics and analytics (without collecting personally identifiable information) to help improve the InterKanect Platform. Third-party cookies and technologies are covered by the third party’s privacy policy.

Your choice:

Web browsers are usually set to accept cookies. However, if you prefer not to receive cookies, you typically have the option of setting your browser to refuse cookies. If your browser is set to refuse cookies, it is likely that some of the functionality offered by Interkanect will not be available or will not work as effectively for you.

Do Not Track

Various browsers, including Internet Explorer, Firefox and Safari, currently offer a “do not track” or “DNT” option that relies on a technology that sends a signal to websites a user visits about that user’s browser DNT preferences. While Interkanect attempts to honor the DNT instructions received from a user’s browser, Interkanect cannot guarantee that it will always respond to such signals because a common industry standard for DNT has not been adopted. Interkanect will continue to monitor developments around DNT browser technology.

Sharing of information collected

Interkanect does not sell, trade or rent personal information provided by you in any transcript, survey or recording for direct marketing or any other purpose, except as provided in this privacy policy or with your permission. Interkanect does not disclose the contents of transcripts, surveys or recordings other than to service providers performing services on behalf of Interkanect, other than as provided in this privacy policy or with your permission.

For legal reasons

We may share your information if we reasonably believe that it: (i) is necessary to comply with a legal process (such as a court order, subpoena, or search warrant) or other legal requirement of any governmental authority; (ii) would potentially mitigate our liability in an actual or potential lawsuit; (iii) is necessary to enforce this privacy policy or our Terms of Serive at https://www.interkanect.com/about/users-terms-of-service or any other agreement in place between you and Interkanect; (iv) is necessary to investigate and prevent unauthorized transactions or other illegal activities; and/or (v) is otherwise necessary or appropriate to protect our rights or property or the rights or property of any person or entity.To deliver and improve the InterKanect Platform

We may aggregate information so that it is not personally identifiable and use and share such aggregated information for training and quality assurance purposes and to deliver and improve the InterKanect Platform.

Service providers

We may share your information when reasonably necessary with third-party service providers used to deliver and make the InterKanect Platform and certain features and functionality available, including but not limited to payment processors, customer contact centers, and a third party to review Interkanect profiles.

Business partners

If you accessed the InterKanect Platform an affiliate or referral partner, we may share your information with such partner to optimize your experience and improve our services.

Affiliates

We may share your information with subsidiaries, parent companies, or other affiliates of the InterKanect corporate group in order to deliver and improve the Interkanect Platform.

Other third parties

The Cookies section above addresses the information Interkanect or third parties collect through cookies, pixel tags, SDKs, and similar third-party technologies and how you can control cookies through your web browsers. Interkanect may also disclose your personal information to any third party with your prior consent.

Third-party integrations

From time to time, we may partner with other companies to allow Interkanect and its customers to offer integrations with the InterKanect Platform. If you use one of these integrations, Interkanect may share your data with the third-party partner, receive data about you from the third-party partner, and/or combine third-party partner data about you with information about you that we collect. We do not control how a third-party partner may use your data.   Use of your information by the third-party partner there is governed by its privacy policies. If you do not wish for your information to be shared in this way, you may opt not to use such integrations.

How can I review, correct, delete, transfer, or receive a copy of my information or withdraw my consent to process my information?

If you elect to engage in any communication session on the InterKanect Platform, it is up to you to decide what, if any, information to provide during such session. Depending on your request, it may not be possible for us or Subject Matter Experts to fully provide all requested services to you. Nevertheless, if you do not wish to provide certain information, then you should not do so.

If you have signed up to receive Interkanect’s marketing or advertising communications, you may, at any time, opt out of receiving further communications by clicking on the opt-out link at the bottom of a marketing or advertising email you receive. You may also contact us at support@Interkanect.com to opt out or to request changes to your personal information.

You may request to review, correct, delete, transfer, or receive a copy of any of the personal information you’ve provided to us through the InterKanect Platform or withdraw your consent to InterKanect processing your personal data by contacting us at support@Interkanect.com, and we will respond within 30 days. You may generally update your account settings, user profile, and billing information by logging in to your account.

If you believe that we have not been able to assist you with your inquiry, and you are located in the European Economic Area, you have the right to file a complaint with the relevant supervisory authority.

How does Interkanect keep my information secure?

We use security measures designed to protect against the loss, misuse and alteration of the information under our control, although data transmissions over the internet cannot be guaranteed to be absolutely secure. Your personally identifiable information is encrypted during transmission. In addition, transcripts that we store are maintained and archived on secure, hardened servers that are hosted on highly secure data centers. Access to this data is protected by multiple layers of controls, including firewalls, role-based access controls, authentication mechanisms and monitoring. Data is backed up, and archives are stored off-site in a secure location. 

Additional mobile considerations

In addition to the other terms in this policy, if you use our mobile applications or access our mobile-optimized websites, we may receive information about your mobile device, including a unique identifier for your device.

If you receive SMS messages from Interkanect, you may opt out by following the opt-out instructions that we provide or by contacting us at support@Interkanect.com.

Interkanect message boards

Information that Subject Matter Experts share on their page/wall become publicly available and therefore may be read, collected, copied and used by other users for any purposes at their discretion. Because this information is publicly available, Interkanect’s privacy obligations outlined in this privacy policy do not apply to your use of any such message boards.

Children

The InterKanect Platform is not directed to individuals under 18. If you are under the age of 18, you may not use or register for the InterKanect Platform or provide any personal information to us. Interkanect does not knowingly collect personal information from individuals under the age of 18. If you are a parent of an individual under 18 and believe your child has provided personal information to Interkanect, or if you are a California resident under the age of 18 and wish to remove content you have made publicly available, please contact us at support@Interkanect.com, where you may request to exercise your applicable access, rectification, cancellation, and/or objection rights. Interkanect reserves the right to immediately terminate any user account and delete his or her information if it believes the user is under the age of 18.

Miscellaneous

We recommend that you review this privacy policy periodically, as we may update it from time to time. Your use of the InterKanect Platform, as applicable, constitutes your consent to the new privacy policy to the fullest extent permitted by law.

We are not responsible for and do not control the privacy practices of any of our customers or any other third party. We encourage you to review the privacy practices of each third party.

Terms of Service

These Terms of Service (this "Agreement") apply to all users who access and/or use the InterKanect platform (the "Site") to provide online advice and services.

InterKanect provides a platform that allows Helpers to present his or her expertise and sell advice or services to interested users. InterKanect, via the platform, enables users to communicate directly with Helpers and for Helpers to receive payments from Users.

Disclaimer - For Educational and Entertainment Purposes Only

YOU ACKNOWLEDGE AND AGREE THAT THE SITE IS BEING PROVIDED FOR USE AS IS. THE USE OF THE SITE IS ACCORDINGLY BEING MADE AT YOUR SOLE AND ENTIRE RISK, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, SECURITY OR ACCURACY. THE SITE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES FOR INFORMATION POSTED OR TRANSMITTED BY ITS MEMBERS.

If you decide to provide your services through the use of the Site, you must exercise a reasonable standard of care, at least the same as a professional SME would in a similar transaction not conducted through the internet, or the standard of care mandated by your profession, whichever is higher. You shall not have any plea, claim or demand against the Site Provider, its affiliates, and their respective officers, directors, shareholders, employees, sub-contractors and agents in respect of any services you provide in connection with the use of the Site. The Site Provider will not be deemed the provider or recipient of any services acquired through the Site. The sale or purchase of services is accordingly at your sole and entire risk.

Under no circumstances will the Site Provider, its affiliates, and their respective officers, directors, shareholders, employees, sub-contractors and agents be liable to any Helper for any indirect, incidental, consequential, special, punitive or exemplary damages (including but not limited to loss of business, revenue, profits, use, data or other economic advantage), however it arises, whether in action of contract, negligence or other tortious action, or arising from the services or any provision of this agreement. The Site Provider, its affiliates, their respective officers, directors, shareholders, employees, sub-contractors and agents' aggregate liability for direct damages arising with respect to this agreement will not exceed the lesser of total amount of money paid to the Site Provider by you through the Site in the six month period prior to the date the claim arose and $50. You acknowledge and agree that the Site Provider disclaims any liability with respect to any claim, suit or action brought by a member in connection with provision of any services by you (including, without limitation, representations by you as to your qualifications and advice) through the Site.

InterKanect does not control the accuracy of any postings on or transmissions through the Platform by Helpers. InterKanect also takes no responsibility for verifying the identity of any of its Users. Therefore, you are encouraged to independently verify the details and creditworthiness of Users to whom you give or contemplate giving advice.

Relationship of the Parties

Helpers are independent contractors of InterKanect, and nothing in this Agreement shall be construed to create any association, partnership, joint venture, employee, or agency relationship between an SME and InterKanect for any purpose. Neither party shall have or hold itself out to any third party as having any authority to make any statements, representations, or commitments of any kind or to take any action that shall be binding on the other, except as provided for in this Agreement or authorized in writing by the party to be bound.

As independent contractors, SMEs shall not be eligible to participate in any vacation, group medical or life insurance, disability, profit sharing or retirement benefits, or any other fringe benefits or benefit plans offered by InterKanect to its employees. InterKanect shall not be responsible for withholding or paying any income, payroll, Social Security, or other federal, state, or local taxes, making any insurance contributions, including for unemployment or disability, or obtaining worker's compensation insurance on SMEs' behalf. As an independent contractor, each SME shall be independently and solely responsible for any income, sales and use, or other tax which SME may be or become obligated to pay by virtue of SME's receipt of any fees or other remuneration. SMEs shall be responsible for, and shall indemnify InterKanect against all such taxes or contributions including penalties and interest.

Privacy

Log-in Credentials. You are responsible for maintaining the confidentiality of your password, username, and any other security information related to your account. You are fully responsible for all activities that occur under your account.

Privacy Policy. By accessing and/or using the SME Platform, you agree to the terms of InterKanect's Privacy Policy at www.InterKanect.com/lp/privacy-policy.

Permitted Disclosures. InterKanect may disclose SME information, including, but not limited to, personal information, transcripts, surveys, and recordings, if InterKanect reasonably believes that disclosure (i) is necessary to comply with a legal process (such as a court order, subpoena, search warrant, etc.) or other legal requirement of any governmental authority; (ii) would potentially mitigate InterKanect's liability in an actual or potential lawsuit; (iii) is necessary or appropriate to protect InterKanect's rights or property, or the rights or property of any person or entity; (iv) is necessary or appropriate to enforce this Agreement; or (v) is necessary to deter illegal behavior (including, but not limited to, fraud).

Your Information. InterKanect may review any SME's profile and amend any typing or spelling errors. InterKanect takes no responsibility for evaluating or verifying the truthfulness or accuracy of the information contained in an SME's profile; an SME's credentials or qualifications; or an SME's postings or transmissions. InterKanect may, in its sole discretion, remove or refuse to post or transmit any content uploaded by an SME. Each SME is responsible for all risks associated with uploading and transmitting material through the SME Platform, including its accuracy, reliability, and legality. You hereby grant InterKanect an unlimited, irrevocable, royalty-free license to use, reproduce, edit, copy, transmit, distribute, publicly display, publicly perform, create derivative works based on, on a worldwide basis, any information or content that you post, transmit, deliver, or receive via the SME Platform.

Modifications to and Termination of Service

InterKanect may modify or discontinue, temporarily or permanently, any part of the SME Platform, with or without notice to SME without liability to SME or any third party. InterKanect, in its sole discretion and for any reason, may terminate SME's participation in the SME Platform and refuse any and all current or future use by SME of the SME Platform. InterKanect will make reasonable efforts to invalidate your username and password within 30 days of receiving your notice.

You may terminate this Agreement at any time by sending a signed notice to InterKanect via mail to InterKanect, LLC., support@InterKanect.com.

Fees

All interactions between Helpers and Users will be billed through the interKanect Platform, regardless of whether the interaction is online or offline. InterKanect will use reasonable efforts to process each User's chosen payment method for the amount agreed upon between User and Helper (subject to InterKanect's fee structure below) 

Flat 20% service fee.

Helpers are encouraged to utilize the SME Platform for all sessions. Helpers who are deemed to circumvent the platform may, at the discretion of InterKanect, be prohibited from using the platform.

Helpers who are deemed to have excessive charge backs on the platform may, at the discretion of InterKanect, be prohibited from using the platform.

 

Notwithstanding the above, InterKanect may withhold, in its discretion, amounts paid by Users by credit card until adequate time has passed to ensure that the payment will not be disputed or charged back or, if InterKanect reasonably believes that fraud may have occurred in connection with payment, until InterKanect is able to verify that no fraud has occurred. If a User has not paid or has later charged back payment, no Helper fee will be paid to you for that transaction and if payment had already been made to you, you are required to prepay this amount immediately to InterKanect, and InterKanect may deduct this amount from your account or from future payments. If you simultaneously participate as a User, InterKanect may transfer or set off payments from your pending earnings as an Helper to your outstanding balance as a User.

InterKanect's billing system is not error-free, and InterKanect shall not be liable for any miscalculations or malfunctions in processing payments. If you think a mistake has occurred, you must submit a complaint to InterKanect's service department here within 90 days of any such payment. You hereby agree that any disputes raised after 90 days of a payment will not be valid and will not be considered by InterKanect.

Acceptable Use

By accessing and/or using the interKanect Platform, you represent, warrant, and agree to the following:

You are at least 18 years of age. If you are under the age of 18, you may not use or register for the interKanect Platform or provide any personal information to us. InterKanect reserves the right to immediately terminate any member account and delete his or her information if it believes the member is under the age of 18.

You will not provide or attempt to provide any service or advice that you are not qualified to provide, including legal or medical advice or other advice/information which may only be lawfully provided by a licensed professional who has established a physician-patient relationship, attorney-client, or other relationship.

If you are a medical and/or professional Helper:

You will not engage in the practice of medicine or enter into a physician-patient relationship with any Member through the SME Platform or prescribe or dispense any medications.   You will advise Members that your advice is for informational purposes only and is not a substitute for the advice of a physician after a physical examination and will recommend that Members seek an in-person examination from a physician. Accordingly, you will not provide advice or information that requires an in-person physical examination of a Member.

You may provide advice or information only about non-emergency matters. For emergency matters, you will instruct the Member to immediately call 911 or their local emergency assistance.

You will not provide advice regarding purchasing or selling securities or any report or analysis concerning securities or any product or services related to lotteries.

You will not engage in conduct that is harmful, unethical, fraudulent, deceptive, misleading, or offensive.

You will provide services to Members only through the SME Platform and will not exchange personal contact information with Members.

You will not take actions which may manipulate the integrity of the Member feedback rating system.

You will comply with all applicable laws, rules, regulations, and ethical codes.

You will not stalk, threaten, or harass others or attempt to invade their privacy.

You will not disclose information that was provided to you by a Member.

You will not transmit through the SME Platform: (a) any information or material that infringes a third-party right; (b) any third-party advertisements; (c) software viruses, Trojan horses, worms, or any other malicious application; (d) any information or material which may encourage conduct that is a criminal offense, a civil wrong, or otherwise violates any applicable law; (e) any content that is unlawful, harassing, threatening, vulgar, racist, harmful, or otherwise objectionable; (f) any unsolicited mass distribution of email or bulletin board postings.

You will not interfere with, disrupt, or attempt to gain unauthorized access to the SME Platform or its related servers or networks or operate robots or spiders to scan the SME Platform.

You may use deep linking only to your own personal web page within the SME Platform.

You may not view the SME Platform with a graphic user interface different from the one provided by the SME Platform.

Co-Branded Websites and Links

The Site may contain links to Websites operated by third parties. The Site Provider has no control over such sites and the information provided in them. You acknowledge and agree that the Site Provider is not responsible for the availability of such third party Websites and will not be responsible or liable for any content, advertising, products, privacy policy or other materials contained therein. You warrant and agree that the Site Provider will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, products or services available on or through any third party Websites.

User Name, Password and Site Registration

When you create and open an account with the Site, you will be asked to provide a user name and password. You are entirely responsible for maintaining the confidentiality of your password and user name and any other security information related to your account. You will be fully responsible for all activities that occur under your account, user name or password. The Site Provider will not be liable for any loss that you incur as a result of any breach of your account, either with or without your knowledge. You may be held liable for any losses incurred by the Site Provider due to someone else's use of your account or password

Any information or content that you post or transmit through the Site will not be considered your confidential information. You grant the Site Provider an unlimited, irrevocable, royalty-free license to use, reproduce, display, edit, copy, transmit, process, control, publicly perform and create derivative works, communicate to the public or any third party any such information and content on a world-wide basis. In addition, the Site Provider may disclose your information in accordance with the "Use of Data" section below.

Use of Data

The Site Provider may disclose your information, including but not limited to personal information, transcripts, surveys, and recordings, if the Site Provider reasonably believes that disclosure (i) is necessary in order to comply with a legal process (such as a court order, subpoena, search warrant, etc.) or other legal requirement of any governmental authority, (ii) would potentially mitigate the Site Provider's liability in an actual or potential lawsuit, (iii) is necessary or appropriate to protect the Site Provider's rights or property, or the rights or property of any person or entity, (iv) is necessary or appropriate to enforce this Agreement or (v) is required or necessary to deter illegal behavior (including, but not limited to, fraud).

The Site and the Site Provider may use the details of transactions executed through the Site for promotional and informational purposes and publish their details on the Site, provided that such publication will not identify the SME or Member in any means other than their Screen Name.

The Site Provider may, in its discretion, create co-branded Websites with its partners. In such case, the SME listings may appear in the co-branded site, but the Site Provider will not transfer any personally identifiable information about the SME to the other Website without receiving the SME's prior consent. The co-branded sites are maintained on servers maintained and controlled by the Site Provider. The Site Provider may record the website from which a visitor has linked to the Site. If a visitor registers to become a Member and/or an SME, the Site Provider may track the partner's name, in order to further the relationships the Site Provider has with its partners.

SME and Member Communications

The Site Provider is not responsible for screening or editing the content of communications between SMEs and Members, but the Site Provider may screen, copy, transmit and review all communications conducted by or through the Site for technical support and/or in order to uphold the terms of this Agreement. All communications between SMEs and Members are NOT encrypted and thus may be subject to unauthorized interception and monitoring.

The Site has a Public Board available to its SMEs and Members. The Public Board allows Members to post questions or request services that can be viewed by all SMEs. Requests may be posted anonymously. A Member can designate the length of time they wish to have their question remain "in view" on the public board. All such postings are public until a Member enters into a personal negotiation with an SME. E-mail and chat transcripts between Members and SMEs are stored on the Site servers and are available for review by SMEs and Members. You acknowledge and agree that because Members may retain transcripts, recordings, and other communications with SMEs as part of their purchase of services from SMEs, that you do not have the right to delete such communications or the information contained within such communications. The Site denotes to its users which communications are visible to the public and those that are visible to specific, individual users only.

International Users

At this time, InterKanect may not be used from a location outside the United States. 

Advertisements

The Site Provider may include in the Site advertisements on its own behalf or paid advertisements on behalf of interested companies and/or individuals. By clicking on the advertisements, the SME may be shifted to a Website of the advertiser or receive other messages, information or offers from the advertiser. You acknowledge and agree that the Site Provider is not liable for the practices of advertisers or the content of their Websites, information, messages or offers.

Intellectual Property Rights

The Site contains copyrighted material, trade secrets and proprietary information owned by the Site Provider, in particular the copyright, trademarks, database and patents, in the Site and in any software, application, graphics, text and other materials used therein, The Site Provider grants you a nonexclusive, revocable right to use the Site provided that you do not copy, modify, create a derivative work of, reverse engineer, disassemble or otherwise attempt to discover any source code, or breach this Agreement.

This Agreement does not grant you any rights to patents, copyrights, trade secrets, trade names, trademarks (whether registered or unregistered), domain names or any other rights, functions or licenses in respect of the Site. You may not create derivative software based upon any trade secret, intellectual property or proprietary information of the Site or the Site Provider. Furthermore, you may not sub-license, assign or transfer, sell or make any other commercial use of your membership in the Site.

You may not adapt or use any trademark or trade name, domain name similar to or likely to be confused with that of the Site Provider or the Site, or take any other action which infringes or impairs the Site Provider's trademark rights.

Copyright Policy

The Site respects the intellectual property of others, and we ask our users to do the same. The Site may terminate the account or access of users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

a description of the copyrighted work, including the location where the copyrighted work exists;

your telephone number, and email address;

a statement by you that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and

a statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Indemnification

SME shall defend, indemnify and hold the Site, its affiliates and its and their officers, directors, employees, consultants, representatives and agents (collectively, the "Indemnified Parties") harmless from any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and reasonable attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against an Indemnified Party related to: (a) any breach of any representation, warranty, covenant or agreement made or to be performed by SME according to this Agreement; (b) any content SME submits, posts or transmits through a Site and/or the SME Platform or otherwise provided by SME; and (d) SME's use of any Site and/or the SME Platform. This section shall survive expiration or termination of this Agreement.

Miscellaneous

The Site may provide notices or other communications to you regarding changes to this Agreement and/or changes to any aspect of the SME Platform or Sites, by email to the email address that we have on record, by regular mail or by posting on the Site and/or the SME Platform. The date of receipt shall be deemed the date on which such notice is given. Notices sent to The Site must be delivered via express delivery or regular mail to:

You shall not assign your rights or obligations pursuant to this Agreement without the prior, written consent of Company.

This Agreement shall be interpreted only in accordance with the laws of the State of California (excluding any rules governing choice of laws), and any legal proceeding arising out of this Agreement will occur exclusively in the courts located in Riverside, California. This Agreement will be binding and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto. This Agreement (and the policies referenced herein and incorporated by reference) constitutes the entire agreement between Company and Member with respect to the subject matter hereof, and Member has not relied upon any promises or representations by Company with respect to the subject matter except as set forth herein. Persons and entities who live in a territory that is prohibited by law from entering into trade relations with the United States are not permitted to use or access the SME Platform or the Sites.

No amendment to this Agreement will be effective unless made in writing. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable, or otherwise contrary to law, the remaining provisions of this Agreement will remain in full force and effect.

The Site Provider may change this Agreement by posting modifications on the Site. Unless otherwise specified by the Site Provider, all modifications shall be effective upon posting. Therefore, you are encouraged to check the terms of this Agreement frequently. By using the Site after the changes become effective, you agree to be bound by such changes to the Agreement. If you do not agree to the changes, you may terminate this Agreement as set forth above.
